You understand that your information (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Payment and credit card information is always encrypted during transfer over networks.
You expressly agree not to sell, resell, reproduce, duplicate, copy, or exploit any portion of The Pathway Method, the Service, the Materials, or Products provided, the use of the Service/Products, or access to the Service/Products, without our express written permission.

Account Creation
To access The Pathway Method, you may be required to provide information (e.g., name, email address, username, password). You agree that any registration information you provide will be accurate, correct, and up to date; you will not impersonate someone else or provide an email address other than your own. Your account must not be used for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction. If your account is compromised, notify us in writing immediately and change your password. Any violation of these terms is grounds for removal and banishment at our discretion.

Lawful Purposes
You may use the materials and/or the Service for lawful purposes only. You shall not post or transmit any material that violates the rights of others; is racist, unethical, threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights; vulgar, obscene, profane, or otherwise objectionable; contains injurious formulas, recipes, or instructions; or encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any law. Doing so is grounds for termination of service without refund, at our discretion.

Intellectual Property
The Pathway Method contains intellectual property owned by Karen Saukas LLC, including but not limited to trademarks, copyrights, proprietary information, and other intellectual property as well as the Karen Saukas Coaching name, logo, designs, text, graphics, digital products, files, and the selection and arrangement of such. You may not modify, publish, transmit, transfer or sell, create derivative works based on, distribute, display, reproduce, perform, or otherwise exploit, in any format, any of The Pathway Method, the Site, Platform, Service Content, Course, or Program Materials, in whole or in part, without prior express written consent. We may remove you from The Pathway Method and revoke access to replays/materials, without refund, if you violate this policy.
- (a) KAREN SAUKAS COACHING™, KAREN SAUKAS™, THE PATHWAY METHOD™, and THE PATHWAY COMMUNITY™ are trademarks exclusively owned by Karen Saukas LLC/INC.
- (b) No Resale of Services Permitted. You agree not to reproduce, duplicate, copy, sell, trade, resell, or exploit for commercial purposes any portion of The Pathway Method and/or products purchased via the Platform (including training materials), the use of purchased materials/products, or access to any course or products purchased. This agreement and all product(s) purchased are not transferable or assignable without Company’s prior written consent.
- (c) You agree not to share access to The Pathway Method, any digital product(s) purchased or provided, or other proprietary materials with others, including any party that has not purchased The Pathway Method or any other third party not authorized by Company.

Refund Policy
Due to the nature of our products, we do not offer refunds after purchase. If you’re not satisfied, email [email protected] and we’ll do our best to make things right.
You agree not to dispute any charges with your bank or financial company at any time. If you inadvertently dispute a charge, you agree to immediately cancel/withdraw the dispute upon learning of its source. Disputing a charge is a violation of this Agreement. You are responsible for any fees, including attorneys’ fees, associated with recouping payment on disputes and any collection fees. We reserve the right to send any unpaid amounts to collections.

Transferability
Your purchase, access, and admission to The Pathway Method are not delegable, assignable, sublicensable, or otherwise transferable to any other party. Any transfer may occur only with Company’s written consent; any other transfer, assignment, delegation, or sublicense is invalid and breaches these Terms.

Replay Recording Policy
You will be provided lifetime access to a replay of The Pathway Method video program after completion. Access is granted to you only; you agree not to share replay access or accompanying materials (including workbooks, worksheets, PDFs, recordings, etc.) with any unauthorized third party.

Independent Recordings
You agree not to independently record any portion of The Pathway Method, including screenshots or screen captures.

Affiliate Links
Company may provide affiliate links via its website, email, or The Pathway Method, through which Company may benefit monetarily. Company does not guarantee the quality of any third-party product or service and bears no liability with respect to such service or experience.

Non-Disparagement
You agree to refrain from making defamatory or disparaging statements to any third party about Company or any of Company’s officers, directors, employees, personnel, agents, policies, services, or products, other than to comply with law. This does not restrict your ability to communicate reviews or performance assessments about Company’s goods or services.

Rescheduling
If Company must reschedule The Pathway Community monthly workshops due to unexpected circumstances (including emergencies or illness), Company will notify you via email and make every effort to reschedule within a reasonable time frame. Rescheduling is not grounds for a refund, partial or otherwise.

Limitation of Liability
Under no circumstances shall we be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or other damages arising out of your use of the trainings, materials, products, site, or service. Additionally, Karen Saukas LLC is not liable for damages in connection with (i) failure of performance, error, omission, denial of service, attack, interruption, deletion, defect, delay in operation or transmission, computer virus, or line/system failure; (ii) loss of revenue, anticipated profits, business, savings, goodwill, or data; and (iii) third-party theft of, destruction of, unauthorized access to, alteration of, or use of your information or property, regardless of negligence, gross negligence, failure of an essential purpose, and whether liability arises in negligence, contract, tort, or any other legal theory. Where exclusions are not permitted, liability is limited to the fullest extent allowed by law and shall not exceed (a) the total purchase price you paid to Company, or (b) if no purchase has been made, one hundred dollars (US $100).

Indemnification
You shall indemnify and hold us harmless from and against all losses, damages, settlements, liabilities, costs, charges, assessments, expenses, and third-party claims (including attorneys’ fees) arising out of any breach by you of these Terms & Conditions or any use by you of The Pathway Method, Site, or Service. You shall provide requested assistance (without charge), including information, documents, records, and reasonable access to you. You shall not settle any third-party claim or waive any defense without our prior written consent.
We may amend these Terms at any time. Amendments are effective immediately upon notice by posting new Terms on the Site. Any use of the Site or Service after notice means you accept these amendments. We reserve the right to update any portion of the Site and Service, including these Terms, at any time, and will post the most recent versions with effective dates on their pages.

Company does not guarantee or provide any warranty, express or implied, regarding specific results. Any testimonials are examples of what is possible, not guarantees.

Headings are included for convenience only and do not limit or otherwise affect these Terms.

Entire Agreement
This Agreement constitutes the entire agreement between you and Karen Saukas LLC pertaining to The Pathway Method, Site, and Service and supersedes all prior and contemporaneous agreements, representations, and understandings. No waiver of any provision by Karen Saukas LLC shall be deemed a waiver of any other provision. No waiver is binding unless in writing executed by Karen Saukas LLC.

Governing Law; Venue; Mediation
This Agreement is governed by the laws of the State of Michigan as applied to contracts executed in Michigan. The exclusive venue for any arbitration or court proceeding arising out of this Agreement shall be Kent County, Michigan.
The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement by mediation, to be conducted under the then-current mediation procedures of The CPR Institute for Conflict Prevention & Resolution or any other procedure upon which the parties may agree. Good-faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration, or other dispute resolution procedures.

Severability
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the Agreement shall remain in full force and effect.

Electronic Signature
You understand that signatures transmitted digitally and created electronically via touchscreen or computer mouse have the same force and binding effect as an original handwritten signature in ink.
